These Terms & Conditions ("Terms") govern your use of the SPI.WEBSTUDIO website and any web design, development, or related services provided by Sami Picard, operating as SPI.WEBSTUDIO, based in Gatineau / Outaouais, Quebec, Canada. By requesting a quote, engaging our services, or using this website, you agree to these Terms.

1. Acceptance

By accessing this website, submitting a contact form, or entering into a project with SPI.WEBSTUDIO, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use this website or our services.

2. Service Provider

Services are provided by Sami Picard, an independent contractor (travailleur autonome) operating under the trade name SPI.WEBSTUDIO, located in Gatineau / Outaouais, Quebec, Canada.

3. Services

SPI.WEBSTUDIO provides custom website design, development, and related digital services. Package descriptions and pricing published on this website are summaries only. The final scope of work, deliverables, timeline, and fees are defined in a written quote, proposal, or contract agreed between you and SPI.WEBSTUDIO before work begins.

Services do not include ongoing website management, unlimited revisions, marketing campaigns, or third-party subscriptions unless explicitly stated in your agreement.

4. Pricing & Taxes

All prices displayed on this website are in Canadian dollars (CAD) unless otherwise stated and are all-inclusive ("TX included").

SPI.WEBSTUDIO does not charge GST or QST separately. As an independent contractor, Sami Picard is not registered to collect federal or provincial sales taxes at this time. If tax registration status changes in the future, you will be notified in writing before any new project begins.

Custom quotes may differ from published package prices based on project complexity, integrations, content volume, or additional requests.

5. Payment Terms

Unless otherwise agreed in writing, the default payment term is: 100% of the agreed project fee is due before work begins.

Alternative payment schedules (such as deposits or milestones) apply only when explicitly stated in a signed quote or contract.

Work does not begin until payment terms are accepted and any required payment is received. Late or missed payments may result in paused work, delayed delivery, or suspension of access to deliverables until the account is brought current.

You are responsible for any bank fees, currency conversion costs, or payment processing charges incurred on your side.

6. Client Responsibilities

To deliver your project efficiently, you agree to:

  • Provide accurate business information, content, images, and brand assets you have the right to use
  • Respond to requests for feedback and approvals within a reasonable timeframe
  • Create and maintain accounts required for hosting, domains, analytics, or integrations when applicable
  • Grant timely access to credentials, DNS settings, or platforms needed to complete the work
  • Review deliverables promptly and report issues within the revision period defined in your agreement

7. Hosting & Infrastructure

Unless explicitly included in a written agreement, hosting is the client's responsibility. SPI.WEBSTUDIO typically deploys websites to a hosting platform owned and controlled by the client (such as Vercel, Netlify, or similar).

You are solely responsible for creating, securing, and maintaining your hosting account, including compliance with the hosting provider's terms of service, acceptable use policies, and billing.

If you use a free hosting tier, you accept all limitations associated with that tier, including but not limited to bandwidth caps, build minute limits, serverless execution limits, cold starts, sleep modes, feature restrictions, and account suspension for overages or policy violations.

SPI.WEBSTUDIO is not responsible for hosting downtime, performance issues, data loss, security incidents, account suspension, billing disputes, or service interruptions caused by third-party hosting providers, domain registrars, email services, or other infrastructure you control or select.

Any assistance connecting your site to hosting or domains is limited to the scope agreed in your project. Ongoing hosting administration is not included unless separately contracted.

8. Domains & Email

You retain ownership of your domain name(s). SPI.WEBSTUDIO may assist with initial domain connection or DNS configuration as part of a project, but ongoing domain renewal, DNS management, and email setup remain your responsibility unless otherwise agreed in writing.

SPI.WEBSTUDIO is not liable for expired domains, misconfigured DNS records, email deliverability issues, or loss of domain access.

9. Intellectual Property

Until full payment is received, all custom designs, code, layouts, and deliverables created by SPI.WEBSTUDIO remain the intellectual property of Sami Picard.

Upon receipt of full payment for the agreed project, ownership of the custom deliverables defined in your agreement transfers to you, excluding third-party tools, libraries, fonts, stock assets, or licensed components subject to their own terms.

SPI.WEBSTUDIO retains the right to display completed work in its portfolio, website, and marketing materials unless a written non-disclosure agreement states otherwise.

You represent and warrant that all content, images, logos, and materials you supply do not infringe any third-party rights and that you have permission to use them.

10. Revisions & Timelines

Turnaround times listed on package pages are estimates, not guarantees. Timelines depend on project scope, your responsiveness, and third-party dependencies.

Revision rounds are limited to what is defined in your package or written agreement. Additional revisions or scope changes may require a new quote and additional fees.

Delays caused by late client feedback, missing content, or third-party platform issues do not create liability for SPI.WEBSTUDIO.

11. Warranties & Disclaimers

SPI.WEBSTUDIO will perform services in a professional and workmanlike manner consistent with industry standards for custom web projects.

However, SPI.WEBSTUDIO does not guarantee specific business results, including search engine rankings, traffic levels, lead volume, sales, or revenue.

Third-party services (hosting platforms, analytics, plugins, APIs, fonts, and integrations) are provided "as is" and subject to their own terms. SPI.WEBSTUDIO is not responsible for changes, outages, or discontinuation of third-party services.

Except as expressly stated in a written agreement, services are provided without any other warranties, express or implied, including merchantability or fitness for a particular purpose.

12. Limitation of Liability

To the fullest extent permitted by applicable law, SPI.WEBSTUDIO and Sami Picard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to our services or this website.

Total liability for any claim relating to a specific project shall not exceed the total fees actually paid by you to SPI.WEBSTUDIO for that project.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Sami Picard and SPI.WEBSTUDIO from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your content, your use of the deliverables, your breach of these Terms, or your violation of any law or third-party rights.

14. Termination & Refunds

Either party may terminate a project according to the terms of the written agreement. If no written agreement exists, either party may terminate by written notice if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period.

Because services involve custom creative and technical work, fees are generally non-refundable once work has begun. If you terminate a project, you remain responsible for payment of all work completed to date and any non-cancellable costs incurred on your behalf.

Refunds, if any, are at the sole discretion of SPI.WEBSTUDIO except where required by applicable law.

15. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Quebec, including courts competent for the Gatineau / Outaouais region.

16. Changes & Contact

SPI.WEBSTUDIO may update these Terms from time to time. The "Last updated" date at the top of this page indicates the latest revision. Continued use of the website or services after changes constitutes acceptance of the updated Terms.
